SellableIQ — Terms of Service
Note: These Terms are current as of the effective date and are being finalized with legal counsel; we may update them (see §13). The data-rights and privacy commitments in §5–§8 are in effect now and govern how your information is used.
By creating an account or using SellableIQ (the "Service"), you agree to these Terms.
1. Acceptance of Terms
You must affirmatively accept these Terms to create an account. If you do not agree, do not use the Service. If you accept on behalf of a business, you represent that you are authorized to bind that business.
2. The Service
SellableIQ, together with the AbleIQ platform, provides tools to assess, prepare, value, and manage the sale, purchase, and ongoing performance of privately held businesses, including readiness scoring, valuation ranges, document organization, and coordination between owners, advisors, and buyers. The Service is informational and organizational software. AbleIQ never holds, moves, or takes custody of funds — money movement, when any, is handled by licensed third parties.
3. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it current.
4. Your Data — Your Ownership
As between you and AbleIQ, you retain ownership of the identifiable information you submit or generate through the Service ("User Data"). These Terms do not transfer ownership of your identifiable information to AbleIQ; they grant the licenses and rights described below.
5. License to Operate and Improve the Service
You grant AbleIQ a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and use your User Data to operate, provide, maintain, secure, and improve the Service, and to perform our obligations to you and to other users you have authorized to participate in the same transaction or engagement (for example, sharing deal-level information with counterparties and advisors you have connected). This license is limited to what is reasonably necessary to provide and improve the Service.
6. Aggregated and De-Identified Data
AbleIQ may create Aggregated Data and De-Identified Data from User Data — data combined across users or stripped of identifiers so that it does not identify, and cannot reasonably be used to identify, any individual user, business, or transaction. AbleIQ owns all Aggregated and De-Identified Data and may use, reproduce, modify, analyze, publish, distribute, license, and sell or otherwise transfer it for any purpose, including to develop and improve products, produce benchmarks, analytics, and market intelligence, and build and commercialize datasets. These rights are perpetual and irrevocable and survive termination or deletion of your account and of the underlying identifiable User Data, in each case to the extent permitted by applicable law.
7. The Bright Line — No Sale or Exposure of Identifiable Data
AbleIQ does not sell, rent, or disclose your identifiable User Data to third parties, except: (a) to other users and advisors you have authorized (e.g., counterparties to a transaction); (b) to service providers acting on our behalf under confidentiality obligations; (c) with your consent; or (d) as required by law or to protect rights and safety. Commercialization under §6 is limited to Aggregated and De-Identified Data only. No identifiable individual user, business, or transaction is sold or exposed to the market.
8. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Applicable U.S. privacy laws may give you rights regarding your personal information (such as access, correction, and deletion), subject to recognized exceptions (including retention of de-identified and aggregated data, and retention necessary to complete transactions, provide security, and defend legal claims).
9. Acceptable Use
You agree not to misuse the Service: no unlawful, infringing, or harmful activity; no attempts to breach security, access other users' data without authorization, or circumvent permission controls; no reverse engineering except as permitted by law; and no uploading of content you lack the right to share.
10. No Professional Advice; Disclaimers
The Service provides software and informational estimates, not legal, financial, tax, accounting, valuation, or investment advice, and no attorney-client, fiduciary, or advisory relationship is created. Valuations, scores, and projections are estimates that depend on the information you provide and may differ from actual outcomes. The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law, AbleIQ will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. AbleIQ's total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to AbleIQ in the twelve months before the claim or one hundred U.S. dollars ($100).
12. Assignment on Business Transfer
AbleIQ may assign or transfer its rights under §5 and its ownership under §6, together with the associated data, in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all of its assets or equity, subject to applicable law.
13. Changes to These Terms
We may update these Terms. When we do, we will revise the version and effective date above and, for material changes, provide reasonable notice. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms. We record the version of the Terms you accepted at sign-up.
14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, notwithstanding that the Service is offered to users throughout the United States. (Counsel: confirm venue/arbitration and any state-specific consumer-protection carve-outs.)
